Terms of Service
Acceptance of terms
By creating an account, accessing, or using any part of the UpMeals OS website, application, or related services (collectively, the “Service”), you agree to be bound by these Terms of Service (the “Terms”). If you do not agree, you must not use the Service.
Definitions
UpMeals OS, we, our, and us mean UpMeals Systems Inc., a British Columbia corporation.
Customer, you, and your mean the individual or legal entity that registers for or uses the Service.
Service means the UpMeals OS software‑as‑a‑service platform, including the website, web or mobile applications, APIs, documentation, and any related features, content, or support services we provide.
Content means any text, images, recipes, data, or other material uploaded to, transmitted through, or stored in the Service by you or on your behalf.
Subscription Plan means a paid plan that grants access to the Service
Eligibility
You must be at least 18 years old and able to form legally binding contracts to use the Service. If you use the Service on behalf of a business, you confirm that you have authority to bind that business.
You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
User conduct
You are solely responsible for all content and data you upload, share, or otherwise make available through the App.
You agree not to use the App for any unlawful or prohibited purpose, including but not limited to the distribution of harmful content, spam, or any other activity that may disrupt the functionality of the App.
You may not:
Reverse‑engineer, decompile, or otherwise attempt to discover the source code of the Service.
Interfere with or disrupt the integrity or performance of the Service.
Upload or transmit any malicious code.
Use the Service to infringe intellectual property or other rights of third parties.
User Responsibility
You acknowledge and agree that you are solely responsible for verifying that your use of the Service complies with all applicable laws and regulations. UpMeals OS does not guarantee that the Service meets the compliance requirements of any specific jurisdiction or industry.
Privacy
Your use of the App is also governed by our Privacy Policy, which is incorporated by reference into these Terms.
By using the App, you consent to the collection and use of your information as described in the Privacy Policy.
Intellectual Property.
We own all rights, title, and interest in and to the Service and its underlying technology. Except for the limited license granted in Section 6, nothing in these Terms transfers any UpMeals intellectual property to you. You retain ownership of your Content. You grant us a worldwide, royalty‑free license to host, copy, process, and display your Content solely to provide and improve the Service.
You may not reproduce, modify, distribute, or otherwise use any part of the App without the express written consent of UpMeals OS.
Subscription plans and payment
We may offer a free trial period. Unless stated otherwise, no payment method is required to start the trial. When the trial ends, continued use of the Service requires selecting a paid Subscription Plan.
Fees are billed in advance on a monthly or annual basis through our payment provider (currently Stripe). All fees are exclusive of applicable taxes.
Upgrades take effect immediately and the prorated difference is charged. Downgrades take effect at the next renewal.
Each paid plan allows unlimited team members under the same organization account at no additional cost.
We may suspend or terminate access if fees are not paid when due.
Upon termination, all provisions of these Terms, which by their nature should survive termination, shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Disclaimer of warranties
The App is provided "as is" without any warranties, express or implied. UpMeals OS makes no representations or warranties regarding the accuracy or completeness of the content or the suitability of the App for any particular purpose.
We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement. We do not guarantee that the Service will be uninterrupted, error‑free, or secure.
Compliance disclaimer
UpMeals OS provides tools and features designed to assist with compliance-related tasks. However, these tools are intended for informational purposes only and do not constitute legal or regulatory advice. Users are solely responsible for ensuring that their use of the Service complies with all applicable laws and regulations.
UpMeals OS disclaims any liability for actions taken based on the information provided by the Service without independent verification.
Third-party services
The Service may integrate with third‑party services (for example, payment processors or analytics tools). Your use of those services is governed by their own terms, and we are not responsible for their actions.
Limitation of liability
In no event shall UpMeals OS be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or use, arising out of or in connection with your access to or use of the Service, including but not limited to reliance on compliance-related features, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not UpMeals OS has been informed of the possibility of such damage.
Indemnification
You agree to indemnify, defend, and hold harmless UpMeals OS, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service, including but not limited to your reliance on compliance-related features without independent verification.
Governing law
These Terms shall be governed by and construed in accordance with the laws of British Columbia, Canada, without regard to its conflict of law provisions.
Term and termination
These Terms remain in effect while you have an account. You may cancel at any time through your account settings; fees already paid are non‑refundable except as required by law. We may suspend or terminate your account for breach of these Terms or if required by law.
Changes to terms
We may update these Terms from time to time. Material changes will be notified by email or through the Service. Continued use after the effective date constitutes acceptance of the revised Terms.
By using the UpMeals OS Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
